The only major thing I see is that you're never going to need a 900w PSU because you don't have SLI in that MoBo. I would suggest saving some money and getting this PSU:

Edit: I take that back the pci-e slot was black and blended in with the MoBo >.<

I would purchase this PSU as I'm a huge fan of corsair PSU's. They are the highest quality PSU's on the market. I own one, and have installed many on the computers I've upgraded for other people. They've never failed me. Drop 50 watt's and purchase this baby.

The 965 is a powerful processor, and It's priced fairly considering the options that are just above and below it. It's also a good over-clocker. I don't have any qualms with it. Might even be over kill. Nothing wrong with that.

Cooler master makes a great case. Power supply is on the bottom of the case for stability. That's a big plus. Also, the case you've picked out has got great bang for buck. If you want to save some money, aren't going to take advantage of that rebate, and want to retain that look you might want to go to this: http://www.newegg.com/Product/Product.aspx...N82E16811129042 It's certainly not as good looking, but it offers most of the good features in the the case you've picked out.

The case and the PSU have a $50 discount when combo'd. So, I took advantage of that. :D

Ahhh, that's something I wouldn't have picked up. If that's the case then CoolerMaster doesn't make bad PSUs. They're still one of the leading brands. It's still a toss up though. The corsair one comes with a 20 dollar rebate and only costs 140 to begin with. You spend ten dollars less for a PSU with 50 watts less power.

Are you using parts from your old computer to build this one?

Only the RAM, and GPU that are add-ons anyway. Then I'll put back in the old ram, and use it for testing, or just craigslist it away.

Like I said before, the 965 is the same as the 955 with a slightly higher clock. You could save a few bucks by getting the 955 and OCing it by 200 MHz, and viola, 965.
