Well there's many more ways to ask than just those two. But I guess the second one.

well, gosh.. if the guy wants you to be his girlfriend, he should just say it; don't beat around the bush...
plus, "will you go out with me?" .... that sounds like he just wants to "go out" for that one time, imho... :\

I think "Will you be my girlfriend?" sounds a lot cuter, 'cause it's nice knowing that someone wants you to be their girlfriend.

That's weird, cuz i never liked when guys said, "Will you be my girlfriend?"
I liked it if they said, "will you be my girl?" that's cuter...i don't know why i'm weird.
But i like it the best when it just comes out in conversation like....
"So...there is this game saturday night...and....i was wondering if you would like to go with me?"
you know, that kinda thing?

Hmm, my previous boyfriends never asked me to be their girlfriend... It was more like, "Do you want to go out with me?" and after that, we just starting hanging out a lot more...

Yea..but it's kinda like he just wants to go to the game with you, not be your boyfriend. I'm liking the "will you be my girlfriend" bit.

I usually like being asked "You wanna go out with me?" Dont know why but I like that one better. "Will you be my girlfriend" is like...something. I just cant think but yeah. I like it better when they ask "You wanna go out with me"

I don't really care, as long as they are really sweet about it. The way you ask and how you ask matters more then what you say.

"Will you go out with me?" Seems more like you're asking her on a date; not really you two exclusively together and such.
"Will you be my girlfriend?" Leaves no room for confusion on what you're asking; it's clear that you'd like her to be your girlfriend.

So if you would like a girl to be your girlfriend, I'd say ask "Will you be my girlfriend?" instead. If you're looking more for less attachment and labels and more for just dating, then ask, "Will you go out with me?"

"Will you be my girlfriend" is better because "Will you go out with me" is just asking someone on a date. Still, I chose "Will you go out with me" ...just because.

I prefer "Will you be my girlfriend". "Will you go out with me?" is actually just one date.

will u be my girlfriend seems kinda desperate. it's not bad though.
going out is like testing if you guys get along well. doesnt mean u have to continuing going out.

i like "will u go out w/ me?" b/c the other one sounds too wordy and desperate and a bit clumsy..like...ive always imagined him being pretty nervous saying.."hey..i was wondering..." its cuter...heh..but its not a big deal..

"Will you be my girlfriend?" seems better/cuter than "Will you go out with me?". Whenever a guy asks me "Will you go out with me?" I respond saying "Depends. Where and what time?" cuz for some reason, that response confuses them. The boys I know are used to the typical "Will you go out with me?" and then automatically assume you're their girlfriend without really making it "official". But I dunno...that's just how I see it.

"Will you go out with me?" is a tad ambiguous. It could mean both 'be my girlfriend' and 'physically go on a date'. Had an uncomfortable situation with this phrase.

I'd prefer "Will you be my girlfriend?" It's cuter and more specific.

"Will you be my girlfriend?"
or else if they can say something more sweeter would be fine. But going straight to the point is also nice. :]
