I think that's the lamest reason to decide NOT to be with someone. Hell, if they're too good for you and you both know it, yet they still want to be with you...

Maybe the person is insecure. If they get together with someone who they think is "too good" for them, then they'll always feel like they're not deserving of the other person's affections. It'll only make them feel like a bad person since they feel like they're the reason why they're holding back the other.
